Software License Agreement

This agreement is between you (the "Buyer") and NewcombLabs ("NewcombLabs") for any NewcombLabs software product you purchase, including Weekly, MyFi, HomeHQ and Earshot, together with its source code and documentation (the "Software"). By purchasing, downloading, or using the Software, you agree to these terms.
1. License grant
On payment, NewcombLabs grants you a non-exclusive, non-transferable, perpetual license to install, use, and modify the specific Software you purchased, for your own personal or internal business use, for one individual.
For Earshot, your license key may be activated on up to 3 computers that you use.
2. Restrictions
You may not: (a) sell, resell, sublicense, share, or redistribute the Software or any modified version, in whole or in part; (b) offer the Software or a modified version to others as a hosted, managed, or SaaS service; or (c) remove copyright or license notices from the source files.
3. Ownership
NewcombLabs keeps all rights in the Software not expressly granted here. Changes you make for your own use are yours, but they stay subject to the restrictions in Section 2.
4. Third-party services and costs
The Software may connect to third-party services using API keys you provide. You are solely responsible for your accounts with those providers, for complying with their terms, and for all usage fees they charge. NewcombLabs does not control those services and isn't responsible for changes to them.
5. No updates or support
The Software is provided as it exists at the time of purchase. NewcombLabs has no obligation to provide updates, bug fixes, support, or compatibility with future versions of third-party services.
6. Hosting, security, and data
You are responsible for installing, hosting, securing, and backing up your copy of the Software and any data it stores or processes, including any financial data.
7. Not financial advice
Any figures, balances, reports, or summaries produced by the Software, including MyFi, are for informational purposes only and are not financial, tax, or investment advice. You are responsible for verifying any information before relying on it.
8. Disclaimer of warranty
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEWCOMBLABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR BUSINESS. NEWCOMBLABS' TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
10. Refunds
All purchases are final and nonrefundable. If you run into an issue with your purchase, contact [email protected] and we will review it on a case-by-case basis.
11. Termination
This license ends automatically if you breach it. On termination you must stop using the Software and delete all copies.
12. Governing law
This agreement is governed by the laws of the State of Texas, USA.
